Opportunity description
The Syrian Integrated Logistics Company (SILC) invites qualified investors to invest in all or part of its fleet of livestock transport vehicles, under a rehabilitation and operation investment model for a period not exceeding one year.

This invitation aims to attract one or more investors with the technical expertise and operational capability required to rehabilitate, operate, and maintain the fleet, thereby maximizing the value of the assets while safeguarding SILC's interests.


1. Scope of the Investment

The investment opportunity covers all or part of SILC's livestock transport fleet. Applicants shall specify in their application the number of vehicles they wish to invest in. SILC reserves the right to award the entire fleet, part of the fleet, or distribute the assets among multiple investors in accordance with its best interests.

The investment is based on the following principles:

- The investor shall bear all costs related to maintenance, repairs, and rehabilitation.
- The vehicles shall be restored to operational readiness and placed into service during the investment period.
- The investor shall operate, maintain, and perform all preventive, routine, and corrective maintenance throughout the investment period.
- The vehicles shall be returned to SILC at the end of the investment period in a fully operational and technically sound condition.
- The operation of the invested vehicles shall be restricted to the territory of the Syrian Arab Republic throughout the investment period.

2. Assets Offered for Investment

The fleet initially offered for investment consists of:
- 67 truck tractors with livestock transport semi-trailers
- 5 standalone livestock transport semi-trailers

The assets are distributed as follows:
- Hama – Maardes Truck tractor with livestock transport semi-trailer 52
- Hama – Maardes Livestock transport semi-trailer 3
- Homs – Al-Naqirah Truck tractor with livestock transport semi-trailer 15
- Homs – Al-Naqirah Livestock transport semi-trailer 1
- Tartous Livestock transport semi-trailer 1

Applicants may apply to invest in the entire fleet or in a specified number of assets, provided this is clearly stated in the application.

3. Investment Term

The investment term shall be up to one calendar year, commencing from the date the vehicles are handed over to the investor, or from another date agreed upon by both parties.

The final investment period and commencement conditions shall be determined in the final agreement with the selected investor.

4. Condition of the Assets

Based on SILC's preliminary assessment, the fleet is generally in good technical condition. However, the vehicles have been out of operation for approximately one and a half years and require recommissioning, maintenance, and rehabilitation, with the extent of work varying from one vehicle to another.

This description does not constitute a detailed technical assessment or guarantee of the condition of any individual vehicle.

Applicants who successfully pass the initial qualification stage will be invited to conduct site inspections, technical evaluations, and review the available technical information before final investment terms are agreed.

5. Investor Obligations

The selected investor shall:

- Conduct a technical assessment of the assets included in the investment.
- Prepare and implement a rehabilitation and operational plan.
- Bear all costs related to maintenance, repairs, rehabilitation, spare parts, materials, and labour, with no financial contribution from SILC.
- Refrain from making any major modifications to the vehicles without SILC's prior written approval.
- Use the vehicles solely for the agreed purposes.
- Operate the vehicles exclusively within the territory of the Syrian Arab Republic.
- Maintain the fleet and perform all preventive, routine, and corrective maintenance throughout the investment period.
- Comply with all applicable operational and technical safety regulations.
- Not assign, transfer, or subcontract the investment without SILC's prior written approval.

6. Return of the Assets

Upon expiry or termination of the investment period, the investor shall return the vehicles to SILC:

- In good technical condition and fully operational.
- With all agreed maintenance, repairs, and rehabilitation works completed.
- Free from shortages or non-compliant replacement parts.

The returned assets shall be inspected by a technical committee appointed by SILC, and a formal technical handover report shall be prepared, including inspection and operational test results.

7. Submission of Investment Applications

Applications must include:

- A certified copy of the Commercial Registration Certificate.
- Documents proving the applicant's legal status.
- Evidence of experience in operating or maintaining heavy vehicles or transport fleets.
- A statement specifying the number of vehicles the applicant wishes to invest in, or whether the application covers the entire fleet.

8. Evaluation of Applications

SILC will review all submitted applications to verify compliance with the initial qualification requirements.
The Company reserves the right to accept or reject any application in accordance with its investment objectives.

9. Discussions with Qualified Investors

Applicants who successfully pass the qualification stage will be invited to the next phase, which includes:

- Site inspections and technical evaluations of the vehicles.
- Access to the available technical data and specifications.
- Discussion of the proposed rehabilitation and operational plan.
- Discussion of the proposed investment model.
- Negotiation of the technical, operational, and commercial obligations of both parties.
- Agreement on the number of vehicles to be invested, the investment term, and the handover and return arrangements.

All final investment terms shall be agreed through direct negotiations with the qualified applicant(s) and documented in the Investment Agreement.

10. General Provisions
- SILC reserves the right to award the investment for the entire fleet or part thereof and to allocate the assets among multiple investors.
- SILC may discontinue the investment process if the submitted applications do not serve its best interests.
- The final technical, operational, and commercial terms of each investment shall be determined through direct negotiations with the selected investor(s).
