Opportunity description
The Syrian Integrated Logistics Company (SILC) invites expressions of interest from qualified investors for the investment and operation of all or part of its refrigerated transport fleet under a rehabilitation and operation model, for an investment period not exceeding one year.
The objective of this invitation is to attract one or more investors with the technical expertise and operational capability required to rehabilitate, operate, and maintain the refrigerated fleet in a fully serviceable condition, while maximizing the value of the assets and safeguarding SILC's interests.
1. Scope of the Investment
The investment covers all or part of SILC's refrigerated transport fleet. Applicants may specify in their proposal the number and type of assets they wish to invest in. SILC reserves the right to approve the investment of the entire fleet, part of it, or to allocate the assets among multiple investors in the manner that best serves its interests.
The investment shall be based on the following principles:
• The investor shall bear the full cost of maintenance, repairs, and rehabilitation.
• Refrigerated trailers, refrigeration units, and associated equipment shall be restored to operational condition and placed into service during the investment period.
• The investor shall operate, maintain, and preserve the assets through preventive, routine, and corrective maintenance.
• The efficiency of refrigeration units, control systems, insulation, and related equipment shall be maintained throughout the investment period.
• Upon expiry of the investment term, all assets shall be returned to SILC in full operational and technical condition.
• The invested assets shall be operated exclusively within the territory of the Syrian Arab Republic throughout the investment period.
2. Assets Offered for Investment
The fleet currently offered consists, on a preliminary basis, of 93 refrigerated transport assets, comprising:
• 50 complete refrigerated vehicle combinations, each consisting of a tractor unit and a refrigerated semi-trailer.
• 43 standalone refrigerated semi-trailers without tractor units.
The tractor units primarily comprise Volvo and Mercedes-Benz vehicles.
The refrigeration equipment includes various Thermo King models, including:
• SB
• SB MAX
• SL
• SL200
• SL200E
• SL300
• SL400E
• SMX
Based on the available inventory, the assets are distributed as follows:
SILC Site – Salamiyah 46
SILC Site – Maardes (Hama) 27
SILC Site – Al-Naqirah (Homs) 16
SILC Site – Tartous 4
Applicants may apply to invest in the entire fleet or in a specified number of complete refrigerated vehicle combinations and/or standalone refrigerated semi-trailers, provided this is clearly stated in the application.
3. Investment Term
The maximum investment period shall be one calendar year, commencing from the date the assets are handed over to the investor or from another date mutually agreed upon by both parties.
The actual commencement date and operational milestones shall be defined in the final investment agreement.
4. Condition of the Assets
The preliminary inventory indicates varying technical and operational conditions among the assets offered.
The fleet includes assets that are:
• Operational or require only minor maintenance.
• In need of varying levels of maintenance, repair, and rehabilitation before being returned to service.
The principal recorded technical observations relate to:
• Refrigeration units
• Refrigerant circuits
• Diesel fuel systems
• Cooling fans
• Sensors
• Batteries
• Electrical systems
• Various mechanical and operational defects
This description does not constitute a final technical assessment nor a warranty regarding the condition of any individual asset.
Applicants who successfully pass the qualification stage will be invited to conduct site inspections, technical assessments, and review the available technical information before investment terms are finalized.
5. Investor Obligations
The successful investor shall:
• Carry out a comprehensive technical assessment of the invested assets.
• Bear all costs associated with rehabilitation, maintenance, repairs, operation, spare parts, materials, and labour, without any financial obligation on SILC.
• Rehabilitate and operate the assets, refrigeration units, and associated equipment while maintaining their operational readiness throughout the investment period.
• Operate the assets exclusively within the Syrian Arab Republic and comply with all applicable laws and regulations.
• Refrain from making any substantial modifications, assigning the investment, or involving third parties without SILC's prior written approval.
• Provide suitable tractor units where the investment includes standalone refrigerated semi-trailers.
• Return all assets to SILC at the end of the investment period in full operational and technical condition, as agreed by both parties.
6. Asset Handover upon Completion
Upon expiry or termination of the investment, the investor shall return the assets to SILC:
• In sound technical and operational condition.
• With all agreed maintenance, repairs, and rehabilitation works completed.
• With refrigeration systems and associated equipment fully operational.
• Free from missing components or replacement parts that fail to meet the agreed specifications.
The condition of the assets shall be verified by a technical committee appointed by SILC, and the handover shall be documented through a technical inspection report including inspection findings and operational testing results.
7. Submission of Investment Applications
Applications may be submitted through either of the following channels:

Applications shall include:
• A certified copy of the Commercial Registration Certificate.
• Documentation confirming the applicant's legal status and authority.
• Evidence of experience in operating and/or maintaining heavy vehicles or refrigerated transport fleets.
• A statement specifying the number of assets the applicant wishes to invest in, or confirmation of interest in investing in the entire fleet.
8. Evaluation of Applications
SILC will review all submitted applications and verify compliance with the qualification requirements, particularly regarding:
• Legal standing.
• Technical expertise.
• Operational experience in heavy vehicles and refrigerated transport.
Submission of an application or successful completion of the qualification stage shall not create any obligation on SILC to enter into an investment agreement with any applicant.
9. Discussions with Qualified Applicants
Applicants who successfully satisfy the qualification requirements will be invited to the next stage, which includes:
• Site visits and technical inspections.
• Review of available technical information, records, and specifications.
• Discussion of the proposed rehabilitation and operational plan.
• Discussion of the investment model.
• Negotiation of the technical, operational, and commercial obligations of both parties.
• Agreement on the number of assets, investment duration, delivery conditions, and handback requirements.
All investment terms shall be agreed through direct negotiations with the selected applicant(s) and formalized in the final Investment Agreement.
10. General Provisions
• SILC reserves the right to award the investment for all or part of the fleet and to allocate assets among multiple investors.
• SILC reserves the right not to proceed with the investment process if the submitted applications do not meet its interests.
• The final technical, operational, and commercial terms for each investment shall be determined through direct negotiations with the selected investor(s).
